1. Agreement to Terms

By accessing or using CommerceFlow ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Service.

2. Use License

Permission is granted to temporarily access and use the Service for business purposes, subject to the following restrictions:

You may not modify or copy the materials or software provided through the Service
You may not use the materials for any commercial purpose beyond your licensed use
You may not attempt to decompile or reverse engineer any software contained in the Service
You may not remove any copyright or proprietary notations from the materials

3. Service Description

CommerceFlow provides AI-powered agents for B2B commerce operations, including but not limited to:

SalesPulse: Quote-to-order automation and RFQ processing
ContentPulse: Catalog data structuring and product enrichment
RevPulse: Revenue optimization and leakage analysis

Service features, functionality, and availability may vary by subscription plan and may be modified at our discretion.

4. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and processing of data as described in the Privacy Policy.

You retain all rights to your data. CommerceFlow processes your data solely to provide the Service and improve our AI models with your explicit consent. We do not sell or share your data with third parties for their marketing purposes.

6. Subscription and Billing

CommerceFlow offers subscription-based services. By subscribing, you agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual basis, as selected.

Subscription fees are non-refundable except as required by law or as explicitly stated in your service agreement. You may cancel your subscription at any time, effective at the end of your current billing period.

7. Pilot Programs

CommerceFlow offers risk-free pilot programs for new customers. Pilot program terms, including duration, deliverables, and performance guarantees, are specified in your pilot agreement. If performance guarantees are not met as defined in your pilot agreement, applicable refunds or credits will be issued as specified.

8. Acceptable Use

You agree not to use the Service:

In any way that violates any applicable national or international law or regulation
To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

9. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of CommerceFlow and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CommerceFlow.

10. Service Level Agreement

CommerceFlow strives to maintain 99.9% uptime for the Service. Scheduled maintenance will be announced in advance. In the event of service interruptions exceeding our SLA commitments, service credits may be issued as specified in your subscription agreement.

11. Limitation of Liability

In no event shall CommerceFlow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use or alteration of your transmissions or content

12. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

CommerceFlow does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the server that makes it available are free of viruses or other harmful components.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

15. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
